TERMS AND CONDITIONS OF SALE

TERMS 1% - 20 Days Net 30 days.

Invoices are payable in full within 30 days from date of invoice. Invoices paid within 20 days of date of invoice are subject to a 1% discount against the material portion of the invoice. Invoices not paid within 30 days of the invoice date will bear a monthly delinquent charge at a rate of 1˝% of the unpaid balance until paid. If the account is placed for collection, the applicant agrees to pay all costs and expenses of collection, including attorney’s fee and expenses.

MINIMUM ORDER: 1 Full Carton

TAXES: All prices are subject to Federal, State, or Local taxes when or where applicable.

FREIGHT: F.O.B. Technicote Westfield manufacturing plant or distribution center – freight prepaid to the continental 48 States

SHIPMENTS: Title and risk of loss to all products purchased will pass to the purchaser upon delivery by Technicote Westfield to a common carrier.

RETURNS: Only accepted under terms of Technicote Westfield warranty after written approval by Technicote Westfield.

LIABILITY: Technicote Westfield will not be held liable for any loss, damage, or delay caused by: Accident, fire, strikes, civil commotion, war, acts of God or any other cause beyond Technicote Westfield

PRICING: Products sold are priced per one hundred sheets unless noted on the order acknowledgement.

ASSORTING PRIVILEGE: Standard full carton items may be assorted for volume pricing when shipped at the same time and to the same location.

WARRANTY: Because of the variety of possible uses, the buyer should test the suitability for each intended use. The buyer assumes all risks in connection with such use. Technicote Westfield will not be liable for damages in excess of the purchase price of products or for incidental or consequential damages.

TECHNICOTE WESTFIELD warrants the products to be free from defects in material and workmanship. Should any failure to conform to this warranty appear within one year after the initial date of shipment, TECHNICOTE WESTFIELD shall, upon notification thereof and substantiation that the products have been stored and applied in accordance with TECHNICOTE WESTFIELD standards, correct such defects by suitable repair or replacement without charge at TECHNICOTE WESTFIELD's plant or at the location of the products (at TECHNICOTE WESTFIELD); provided, however, if TECHNICOTE WESTFIELD determines that repair or replacement is not commercially practical, TECHNICOTE WESTFIELD shall issue a credit in favor of BUYER in an amount not to exceed the purchase price of the products.
